These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and KNTIC.ai ("KNTIC," "we," "us," or "our") governing your access to and use of the website located at https://kntic.ai (the "Site") and any related software, tools, documentation, and services made available by KNTIC (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

1. Acceptance of Terms

By accessing or using the Services, you represent and warrant that you (a) are at least sixteen (16) years of age, (b) have the legal capacity to enter into these Terms, and (c) are not prohibited from using the Services under applicable law. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

KNTIC provides an Autonomous Project Evolution Engine that enforces architectural governance through manifest-driven reconciliation. The Services include, but are not limited to:

• The KNTIC Pulse orchestration engine for deterministic AI agent orchestration;
• Manifest-driven task lifecycle management;
• Architectural Decision Record (ADR) enforcement;
• Global Impact Analysis (GIA) gated merge workflows;
• Related documentation, tools, and informational resources made available through the Site.

KNTIC reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice, and without liability to you.

3. Preview Software

Certain portions of the Services may be designated as "preview," "alpha," "beta," or similar pre-release designations (collectively, "Preview Software"). Preview Software is provided "AS IS" and "AS AVAILABLE" without any warranties of any kind. You acknowledge that Preview Software may contain bugs, errors, and other defects, and that the use of Preview Software is at your sole risk. KNTIC shall have no liability arising from or related to your use of Preview Software.

4. Intellectual Property Rights

4.1 KNTIC Ownership

All right, title, and interest in and to the Services, including all intellectual property rights therein (including, without limitation, patents, copyrights, trademarks, trade secrets, and know-how), are and shall remain the exclusive property of KNTIC and its licensors. These Terms do not grant you any right, title, or interest in the Services except for the limited usage rights expressly set forth herein.

4.2 Trademarks

"KNTIC," "KNTIC.ai," "KNTIC Pulse," and associated logos, marks, and trade dress are trademarks or registered trademarks of KNTIC. You may not use any KNTIC trademarks without our prior written consent, except as expressly permitted in any brand guidelines we may publish.

4.3 Feedback

If you provide any suggestions, ideas, enhancement requests, feedback, or other recommendations regarding the Services ("Feedback"), you hereby grant KNTIC a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sublicensable license to use, reproduce, modify, distribute, and otherwise exploit such Feedback without restriction or obligation to you.

5. User Conduct

You agree not to, and shall not permit any third party to:

• Use the Services for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation;
• Attempt to gain unauthorized access to the Services, other accounts, computer systems, or networks connected to the Services;
• Interfere with or disrupt the integrity or performance of the Services or the data contained therein;
• Reverse engineer, disassemble, decompile, or otherwise attempt to derive the source code of any proprietary components of the Services, except to the extent expressly permitted by applicable law;
• Use any automated means, including robots, crawlers, or scrapers, to access the Services for any purpose without our prior written consent;
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in or on the Services;
• Use the Services to transmit any malicious code, viruses, worms, or other harmful computer programs.

6. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

KNTIC does not warrant that (a) the Services will be uninterrupted, timely, secure, or error-free, (b) the results obtained from the use of the Services will be accurate or reliable, (c) the quality of any information obtained through the Services will meet your expectations, or (d) any errors in the Services will be corrected.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KNTIC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (C) ANY CONTENT OBTAINED FROM THE SERVICES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT KNTIC HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF KNTIC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO KNTIC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).

8. Indemnification

You agree to indemnify, defend, and hold harmless KNTIC and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any third-party right, including any intellectual property or privacy right, or (d) any claim that your use of the Services caused damage to a third party.

9. Third-Party Resources

The Services may contain links to or integrations with third-party websites, services, or resources ("Third-Party Resources"). KNTIC does not endorse and is not responsible for any Third-Party Resources. Your access to and use of Third-Party Resources is at your sole risk and subject to the terms and conditions of such third parties.

10. Modifications to Terms

KNTIC reserves the right to modify these Terms at any time in its sole discretion. Any modifications will be effective immediately upon posting of the revised Terms on the Site with an updated "Last Updated" date. Your continued use of the Services after posting of any modifications constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically. If you do not agree to the modified Terms, you must discontinue your use of the Services.

11. Termination

KNTIC may, in its sole discretion, suspend or terminate your access to the Services at any time and for any reason, with or without cause and with or without notice. Upon termination, all rights and licenses granted to you under these Terms shall immediately cease. Sections 4, 6, 7, 8, 12, and 13 shall survive any termination of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Austria, without regard to its conflict of law provisions. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be submitted to the exclusive jurisdiction of the competent courts of Vienna, Austria. Notwithstanding the foregoing, KNTIC may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and KNTIC with respect to the Services and supersede all prior or contemporaneous communications, representations, and agreements, whether oral or written.

13.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.

13.3 Waiver

The failure of KNTIC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by KNTIC.

13.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without the prior written consent of KNTIC. KNTIC may assign or transfer these Terms, in whole or in part, without restriction. Any attempted assignment in violation of this section shall be null and void.

13.5 Force Majeure

KNTIC shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including, without limitation, acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
